1. Introduction and Acceptance of These Terms

These Terms are between you and Trinity AI Consulting (“Trinity,” “we,” “us,” or “our”), located at 25389 98 Avenue, Maple Ridge, British Columbia, Canada.

These Terms apply to visitors and prospective clients using trinityaiconsulting.ca (the “Website”), clients purchasing or receiving our services, and users of AI systems or automations we build or configure. A particular service may also be governed by a proposal, statement of work, subscription agreement, data processing agreement, or other written agreement between you and Trinity.

You accept these Terms by using the Website, booking a consultation, signing a statement of work, or otherwise engaging our services. If you accept on behalf of a company or other organization, you represent that you have authority to bind it. In that case, “you” and “Client” refer to that organization.

If a signed agreement or statement of work (“SOW”) conflicts with these Terms, the signed agreement or SOW controls for the services it covers. A data processing agreement controls with respect to its subject matter if it conflicts with these Terms. These Terms apply to any matter not addressed or overridden by those documents.

  • “AI System” means a software system or feature that uses artificial intelligence, machine learning, a language model, or similar technology to generate, classify, summarize, recommend, or otherwise process information.
  • “Automation” means a configured workflow or technology that performs or coordinates tasks, actions, or data transfers with limited or no manual intervention.
  • “Client Data” means information, data, content, records, or materials supplied by or on behalf of the Client, or generated from that material in providing the Services.

3. Eligibility and Business Use

Our Services are designed for businesses and business users, not for individuals acting solely for personal, family, or household purposes. The Website and Services are not directed to children. You must be at least the age of majority where you live and have authority to accept these Terms and, if applicable, act for the business you represent.

Nothing in these Terms removes any mandatory legal rights you may have that cannot lawfully be excluded or limited, including any rights that apply if you qualify as a consumer under applicable law.

4. Description of Services

Trinity helps small businesses identify repetitive, time-consuming work and implement practical, tailored AI solutions and automations. Depending on the applicable SOW, our Services may include:

  • AI consulting and advisory services;
  • workflow and process discovery, assessment, and opportunity mapping;
  • design, development, configuration, testing, and deployment of AI Systems and Automations;
  • integration with a Client’s existing tools, including CRMs, email, calendars, spreadsheets, and other business software;
  • prompt and workflow engineering;
  • knowledge base and retrieval system setup;
  • testing and quality assurance;
  • training and enablement; and
  • ongoing support, maintenance, and optimization.

The applicable SOW or proposal will describe the scope, schedule, Deliverables, assumptions, and Fees for a specific engagement. Work outside that scope, including additional features, integrations, revisions, or services, requires written approval and may result in adjusted Fees and timelines.

5. Client Responsibilities and Cooperation

The Client will cooperate with Trinity and provide, in a timely manner, accurate information, access, credentials, sample data, decisions, approvals, and feedback reasonably needed to provide the Services. The Client will identify a representative with authority to make project decisions.

The Client is responsible for:

  1. having all rights, licences, permissions, and consents needed to provide Client Data, content, systems, and accounts to Trinity and to authorize the agreed use of them;
  2. ensuring that information and instructions it provides are accurate, complete, and lawful;
  3. maintaining the security of its accounts, systems, and credentials, and promptly notifying Trinity of suspected unauthorized access;
  4. reviewing Outputs and Deliverables before relying on or using them;
  5. maintaining appropriate backups of its own data and systems; and
  6. complying with the laws and regulations that apply to its business and its use of the Services.

Trinity may rely on information and instructions provided by the Client. If the Client delays, fails to provide required cooperation, or provides inaccurate or incomplete information, Trinity may adjust the timeline, scope, or Fees to account for the resulting additional work or delay.

6. AI-Specific Terms

6.1 Probabilistic outputs and human review

AI Systems generate results probabilistically. Outputs may be inaccurate, incomplete, outdated, misleading, or biased, and may vary even when given similar inputs. Trinity does not guarantee that any Output is correct, complete, reliable, suitable for a particular purpose, or free from error.

The Client must have a qualified human review Outputs before relying on them, particularly when they relate to decisions affecting individuals or to legal, financial, medical, tax, accounting, employment, or other regulated or high-impact matters. Any AI-generated content intended for publication or communication to a third party must be reviewed and approved by the Client before use.

6.2 No professional advice

Trinity does not provide legal, medical, financial, tax, accounting, or other regulated professional advice. AI Systems and Outputs that Trinity builds, configures, or supplies are not a substitute for advice from a qualified professional.

6.3 Human oversight and decisions about individuals

Human oversight is central to Trinity’s approach to responsible AI. Any deployment that makes or materially supports decisions about individuals must have agreed human review and safeguards appropriate to the intended use. The Client remains the decision-maker and is responsible for final decisions, including decisions made with assistance from an AI System or Automation.

6.4 Client Data and AI training

Trinity does not sell Client Data. Trinity will not use Client Data to train or fine-tune third-party public foundation models unless the Client expressly agrees to that use in writing.

To provide the Services, Trinity may use Client Data to configure, test, operate, maintain, and support an AI System or Automation. Trinity may use Client Data to adapt a project-specific system or model only where that work is agreed with the Client.

6.5 Third-party AI and technology

AI models, APIs, cloud providers, and other Third-Party Services are subject to their own terms, usage limits, rate limits, availability, pricing, and technical characteristics. Those providers may change, restrict, suspend, deprecate, or discontinue their services, models, or features, sometimes without notice to Trinity.

Trinity is not responsible for the acts or omissions, outages, model changes, pricing changes, or discontinuation of Third-Party Services. If such a change affects an engagement, the Services may need to be adjusted, replaced, or migrated, and the parties may agree to changes in scope, schedule, or Fees.

6.6 No guaranteed business outcomes

Trinity does not guarantee any particular business result, revenue, cost saving, conversion rate, accuracy rate, productivity improvement, or other outcome from an AI System or Automation.

The Client is responsible for the lawfulness of its own use of the Services, Deliverables, and Outputs. This includes compliance with applicable privacy, employment, consumer protection, marketing, electronic communications, anti-spam, human rights, accessibility, and sector-specific requirements, including Canada’s Anti-Spam Legislation where applicable. The Client is responsible for providing required notices and obtaining necessary consents, permissions, and legal bases.

7. Fees, Invoicing and Payment

7.1 Fees and invoices

Fees may be fixed, hourly, subscription-based, retainer-based, or otherwise as stated in the applicable SOW or written agreement. Unless an SOW states otherwise, Trinity will invoice according to the schedule set out in the SOW or, if no schedule is specified, as work is performed or at the end of each month.

Invoices are payable within 15 days of the invoice date unless the applicable SOW states a different period. Payment may be made using a method identified on the invoice, which may include electronic funds transfer, e-transfer, or payment card.

All amounts are in Canadian dollars (CAD). Applicable taxes, including GST or PST, are additional and payable by the Client. The Client is responsible for applicable taxes other than taxes based on Trinity’s income.

7.2 Late payment and suspension

Overdue amounts accrue interest at 2% per month or the maximum rate permitted by law, whichever is lower, calculated from the due date until paid. The Client will reimburse Trinity for reasonable costs of collecting overdue amounts, to the extent permitted by law.

Trinity may suspend Services, access, or work on Deliverables if an undisputed amount remains overdue after written notice. Any suspension does not waive the Client’s payment obligations and may affect project timelines.

7.3 Expenses and third-party costs

The Client will reimburse reasonable, project-related expenses and third-party costs that the Client has approved in advance in writing. Third-Party Services may require the Client to open its own account and pay the provider directly.

7.4 Refunds

Fees for work already performed and costs already incurred are non-refundable, except where an SOW expressly provides otherwise or a refund is required by law. Nothing in this section limits the remedy stated in Section 14 for a breach of the express warranty there.

7.5 Subscriptions and ongoing services

Unless an SOW states otherwise, a Subscription renews for successive monthly periods until cancelled. Either party may cancel a monthly Subscription by giving at least 30 days’ written notice, effective at the end of the applicable billing period. Fees for a billing period already begun are not refundable, except as required by law or expressly stated in the SOW.

Trinity may change Fees for ongoing Services by giving at least 30 days’ written notice. If the Client does not accept a change, it may terminate the affected Subscription before the change takes effect.

8. Intellectual Property

8.1 Trinity Background IP

Trinity retains all rights in materials, methods, frameworks, know-how, templates, prompts, tools, code libraries, documentation, and generic components that Trinity owned or developed independently of the Client’s engagement, or that are of general application and not unique to the Client (“Trinity Background IP”).

To the extent Trinity Background IP is embedded in a Deliverable, Trinity grants the Client a non-exclusive, non-transferable licence to use that embedded material as part of the Deliverable for the Client’s internal business purposes, subject to these Terms and payment of all Fees due. The Client may not extract, resell, sublicense, or distribute Trinity Background IP on a standalone basis.

8.2 Client-specific Deliverables

Upon full payment of all Fees due for the applicable Deliverables, the Client owns the Client-specific Deliverables and custom configurations created specifically for the Client under the applicable SOW, excluding Trinity Background IP and Third-Party Services or components. To the extent necessary, Trinity assigns to the Client its rights in those paid Deliverables, subject to the exclusions and licences in these Terms.

Until full payment, the Client may not use, publish, distribute, or commercially exploit unpaid Deliverables. Any licence to use unpaid Deliverables terminates if the engagement is terminated while Fees for those Deliverables remain unpaid.

8.3 Client Data

The Client retains ownership of Client Data. The Client grants Trinity a limited, non-exclusive licence to use, reproduce, modify, and process Client Data as reasonably necessary to provide the Services, comply with the Client’s instructions, and meet legal obligations.

8.4 Third-party materials and feedback

Third-Party Services and components are governed by their providers’ licences and terms. Trinity does not transfer ownership of those materials to the Client.

The Client may provide comments, suggestions, or other feedback about the Services. Trinity may use that feedback without restriction or obligation, provided it does not disclose the Client’s Confidential Information.

9. Confidentiality

“Confidential Information” means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential, including business, technical, financial, customer, security, and project information. Client Data is Confidential Information of the Client.

Confidential Information does not include information that the receiving party can demonstrate: (a) is or becomes public through no breach of these Terms; (b) was lawfully known to it without confidentiality restrictions before receipt; (c) was independently developed without using the disclosing party’s Confidential Information; or (d) was lawfully received from a third party without a duty of confidentiality.

The receiving party will use Confidential Information only to perform or receive the Services or exercise its rights under these Terms, protect it using at least reasonable care, and disclose it only to personnel and advisers who need to know it and are bound by confidentiality obligations. A party may disclose Confidential Information where required by law, provided it gives advance notice where legally permitted and reasonably cooperates with efforts to limit the disclosure.

These confidentiality obligations continue for five years after termination of the applicable engagement. For information that remains a trade secret or personal information protected by law, the obligations continue for as long as the information retains that status or protection.

10. Privacy and Data Protection

Trinity’s Privacy Policy, available on trinityaiconsulting.ca, describes how Trinity handles personal information and forms part of these Terms. It should be read together with any applicable SOW or data processing agreement.

Where Trinity processes personal information on behalf of a Client, Trinity generally acts as the Client’s service provider or processor, and the Client generally determines the purposes and means of processing. The Client is responsible for its privacy notices, consents, legal bases, and instructions relating to that information. Trinity will process it in accordance with the applicable agreement and the Client’s documented instructions, subject to law.

The parties may enter into a data processing agreement where required by law or appropriate to the Services. Trinity handles personal information in accordance with applicable privacy laws, which may include PIPEDA and British Columbia’s Personal Information Protection Act (BC PIPA).

Individuals with questions or concerns may contact Trinity using the details in Section 22. The Privacy Policy also describes how to raise a concern with the Office of the Privacy Commissioner of Canada or the Office of the Information and Privacy Commissioner for British Columbia, as applicable.

11. Acceptable Use

You must not use the Website, Services, Deliverables, or Outputs to:

  1. violate any applicable law, regulation, court order, or third-party right;
  2. transmit malware, malicious code, or other harmful material;
  3. attempt unauthorized access to any system, account, or data;
  4. scrape, reverse engineer, decompile, or circumvent technical or security measures, except to the extent that applicable law prohibits that restriction;
  5. send unlawful, deceptive, or unsolicited communications;
  6. generate or distribute unlawful, deceptive, defamatory, discriminatory, harassing, infringing, or harmful content;
  7. bypass or disable safety, security, usage, or access controls of an AI System or Third-Party Service;
  8. misrepresent AI-generated content as human-created where applicable law or an applicable agreement requires disclosure; or
  9. use the Services in a high-risk context without agreed safeguards and appropriate human oversight.

Trinity may suspend or terminate access to the Website or Services if it reasonably believes that you have violated this section, these Terms, or applicable law.

12. Third-Party Services and Integrations

The Client authorizes Trinity to connect to or use Third-Party Services that the Client directs or approves for the engagement. The Client is responsible for ensuring it has the right to grant Trinity access to its accounts, systems, and data.

Third-Party Services are governed by their providers’ terms and privacy practices. Trinity does not control and is not responsible for those services. The Client is responsible for its third-party accounts, subscriptions, permissions, and fees, unless an SOW expressly states otherwise.

13. Service Levels, Support and Availability

Unless an SOW provides otherwise, Trinity provides support through the communication channels agreed for the engagement during business hours, Monday to Friday, 9:00 a.m. to 5:00 p.m. Pacific Time, excluding statutory holidays in British Columbia.

Trinity will use reasonable efforts to acknowledge routine support requests within two business days. This is an acknowledgement target, not a guaranteed resolution time or service level. There is no uptime guarantee unless expressly stated in an SOW.

Trinity may conduct scheduled maintenance and may take action without advance notice where reasonably necessary for security, legal compliance, or system integrity. Services that depend on Third-Party Services, networks, or the Client’s systems may be interrupted. Any service credits are available only if expressly stated in an SOW.

14. Warranties and Disclaimers

Trinity warrants that it will perform the Services in a professional and workmanlike manner consistent with generally accepted industry practice and will use reasonable efforts to provide the Services as described in the applicable SOW.

If the Client believes Trinity has breached this express warranty, it must notify Trinity in writing with reasonable detail within 30 days after becoming aware of the issue. The Client’s exclusive remedy for breach of this express warranty is, at Trinity’s option, re-performance of the deficient Services or a refund of the Fees paid for the deficient portion.

EXCEPT FOR THE EXPRESS WARRANTY IN THIS SECTION, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, DELIVERABLES, AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TRINITY DISCLAIMS ALL OTHER WARRANTIES, CONDITIONS, AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

Nothing in these Terms excludes a warranty, condition, or right that cannot lawfully be excluded.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINITY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINITY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICES, OR AN SOW WILL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT TO TRINITY IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

The exclusions and limits in this section do not apply to liability arising from fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot lawfully be limited. They do not limit the Client’s obligation to pay Fees properly due.

The Client is responsible for maintaining backups of its data and systems and for reviewing and making decisions based on Outputs and Deliverables. Nothing in this section limits any non-waivable rights or remedies available under applicable law.

16. Indemnification

16.1 Client indemnity

To the extent permitted by law, the Client will defend, indemnify, and hold harmless Trinity and its personnel from third-party claims, losses, liabilities, damages, and reasonable legal fees arising from or relating to: (a) Client Data or Client content; (b) the Client’s instructions; (c) the Client’s use of the Services, Deliverables, or Outputs; (d) the Client’s breach of these Terms or applicable law; or (e) claims by the Client’s customers, employees, or other business contacts, except to the extent caused by Trinity’s breach of these Terms or wilful misconduct.

16.2 Trinity intellectual property indemnity

Trinity will defend the Client against a third-party claim alleging that a Deliverable created by Trinity for the Client, and used as permitted under these Terms, infringes that third party’s intellectual property rights. Trinity will pay damages and reasonable costs finally awarded against the Client, or a settlement approved by Trinity, for that claim.

This obligation does not apply to claims arising from Client Data, Client instructions, modifications not made by Trinity, combination with products or services not supplied by Trinity, or use outside the scope permitted by these Terms or the applicable SOW.

The Client must promptly notify Trinity in writing of the claim, give Trinity sole control of the defence and settlement, and provide reasonable cooperation at Trinity’s expense. Trinity may modify or replace the affected Deliverable, obtain the right for the Client to continue using it, or, if those options are not commercially reasonable, terminate the affected Deliverable and refund the Fees paid for it, less a reasonable amount for use before termination. This section states Trinity’s entire liability and the Client’s exclusive remedy for the intellectual property claim described here.

17. Term, Suspension and Termination

These Terms begin when accepted and continue while you use the Website or receive Services. An engagement begins on the start date stated in the applicable SOW and continues for the agreed project, Subscription, or service period.

Unless an SOW states otherwise, either party may terminate an ongoing engagement for convenience by giving 30 days’ written notice. Either party may terminate an engagement immediately by written notice if the other party materially breaches these Terms and fails to cure the breach within 15 days after receiving written notice, or becomes insolvent, makes an assignment for the benefit of creditors, or becomes subject to insolvency proceedings.

Upon termination:

  1. the Client will pay Fees for work performed and approved, non-cancellable commitments incurred up to the effective termination date;
  2. Trinity will provide completed Deliverables and work in progress for which the Client has paid all applicable Fees;
  3. each party will, on request, return or destroy the other party’s Confidential Information, subject to legal retention requirements, routine backups, and copies retained for compliance purposes; and
  4. licences granted to the Client for unpaid Deliverables will terminate.

Sections that by their nature are intended to survive termination will survive, including provisions concerning intellectual property, confidentiality, Fees owing, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution.

18. Changes to the Services or These Terms

Trinity may update these Terms by posting a revised version on the Website with a new effective date. Unless otherwise required by law, material changes apply to new engagements and will apply to existing ongoing Services only after advance notice where required by law or where continued use constitutes acceptance. Changes to an active SOW require written agreement.

If you do not agree to a change that applies to ongoing Services, you may terminate the affected Services in accordance with Section 17.

19. Notices

Notices under these Terms must be in writing and sent by email to the addresses the parties have provided for the engagement. Notices to Trinity may be sent to trinityaiconsulting@yahoo.com. Each party is responsible for keeping its contact details current.

An email notice is deemed received on the next business day after it is sent if sent on a business day, or on the business day following that day if sent on a non-business day. A notice of termination or material breach should clearly identify its purpose in the subject line.

20. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law rules.

The parties will first attempt in good faith to resolve a dispute through discussion between representatives with authority to settle it. If the dispute is not resolved within 30 days after written notice of the dispute, either party may request mediation in British Columbia before a mediator mutually selected by the parties. The parties will share the mediator’s fees equally and pay their own legal and other costs, unless they agree otherwise.

If the dispute is not resolved through negotiation or mediation, the courts of British Columbia have exclusive jurisdiction, and each party submits to the jurisdiction and venue of those courts. Nothing in this section prevents either party from seeking urgent injunctive or other interim relief from a court with jurisdiction.

Any claim is subject to the limitation period prescribed by British Columbia’s Limitation Act, as applicable. Nothing in these Terms shortens a limitation period that cannot lawfully be shortened. A consumer in another jurisdiction may have mandatory local rights that cannot be waived by these Terms.

21. General

21.1 Entire agreement and precedence

These Terms, together with any applicable SOW, signed agreement, and data processing agreement, form the entire agreement between the parties regarding their subject matter and replace prior discussions or understandings on that subject. The order of precedence is set out in Section 1.

21.2 Assignment

The Client may not assign or transfer these Terms or an SOW without Trinity’s prior written consent. Trinity may assign these Terms to an affiliate or in connection with a merger, reorganization, corporate transaction, or sale of substantially all of its business or assets.

21.3 No waiver and severability

A failure or delay in exercising a right under these Terms is not a waiver of that right. If a court finds a provision unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in effect.

21.4 Force majeure

Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, public emergencies, acts of government, labour disputes, internet or utility failures, cyberattacks, and outages, restrictions, or discontinuation of Third-Party Services or AI providers. The affected party will use reasonable efforts to reduce the effects and resume performance. This section does not excuse payment for Services already performed.

21.5 Independent contractors

The parties are independent contractors. These Terms do not create a partnership, joint venture, employment, fiduciary, or agency relationship.

21.6 No third-party beneficiaries

Except as expressly stated in the indemnification section, these Terms do not create rights for any person or entity that is not a party to them.

21.7 Further assurances

Each party will take reasonable steps and sign reasonable documents needed to give effect to these Terms.

21.8 Electronic acceptance and language

These Terms may be accepted electronically, and electronic signatures and records have the same effect as originals to the extent permitted by law. The language of these Terms is English. Headings are included for convenience and do not affect interpretation.
